Article 1 (General Provisions)
These Terms apply to all relationships between the Company and users regarding system development, maintenance, and use of the web services.
Article 2 (Definitions)
- “Service”: All system development, maintenance, and related web services provided by the Company.
- “User”: Any corporation or individual who uses the Service.
- “Agreement”: A development or service agreement concluded between the Company and the User.
Article 3 (Amendments)
The Company may amend these Terms as necessary. Amendments become effective upon posting on the Company’s website.
Article 4 (Provision / Suspension)
The Company may suspend or interrupt the Service without prior notice due to maintenance, failures, force majeure, or other unavoidable reasons.
Article 5 (Account Management)
- Users are responsible for safeguarding their IDs and passwords.
- Transfer, lending, or sharing to/with third parties is prohibited.
Article 6 (Prohibited Acts)
- Acts in violation of laws or public order and morality
- Infringement of rights or damage to the reputation of the Company or third parties
- Interference with the Service, unauthorized access, reverse engineering
- Spam or acts causing excessive load
Article 7 (Intellectual Property)
Intellectual property rights related to the Service and associated materials belong to the Company or rightful owners. Unless otherwise agreed in an individual agreement, copyrights in deliverables belong to the Company; the User may use them internally for its own business.
Article 8 (Fees and Payment)
Fees are based on quotations/agreements or information posted on the Company’s website. If monthly or usage-based billing is introduced in the future, the pricing scheme will be announced on the website. In case of delay in payment, the Service may be suspended.
Article 9 (Disclaimer)
- The Company shall not be liable for damages unless caused by willful misconduct or gross negligence.
- The Company is not liable for issues attributable to communication lines, devices, browsers, or other environments.
- No warranties—express or implied—are made regarding accuracy, usefulness, or fitness for a particular purpose.
Article 10 (Termination / Suspension)
- If the User violates these Terms, fails to pay fees, has ties to antisocial forces, or if credibility concerns arise, the Company may terminate or suspend the Service.
Article 11 (Governing Law / Jurisdiction)
These Terms are governed by the laws of Japan. The court having jurisdiction over the location of the Company’s head office shall have exclusive jurisdiction as the court of first instance.
Article 12 (Language)
In the event of any inconsistency between the Japanese and English versions, the Japanese version shall prevail.
